1. Acceptance of these Terms

VIKIO ("VIKIO", "we", "us") is operated by [TO BE COMPLETED — legal business name]. By creating an account, accessing the website, or using any part of the service, you agree to these Terms of Use and to our Privacy Policy, Cookie Policy and AI Disclosure, which are incorporated here by reference.

If you do not agree with any part of these Terms, do not create an account and do not use VIKIO.

These Terms are version 1.0, effective [TO BE COMPLETED — date]. We record the version you accepted at the moment you create your account.

2. Eligibility and minimum age

You must be at least 18 years old to use VIKIO. The service is intended for adults, is not directed at children, and we do not knowingly allow anyone under 18 to create an account. If we learn that an account belongs to someone under 18, we will terminate it.

You must also have the legal capacity to enter into a contract, and you must not be barred from using the service under the laws of your country or region.

For attorney review — Minimum age is configurable and may need to be raised in specific jurisdictions. Confirm with counsel before launch.

3. Your account

Registration

You can create an account with an email address and password, or by signing in with Google. You agree to provide accurate information and to keep it up to date. Onboarding answers you provide (such as interests, what you are looking for, and how you identify, if you choose to share it) are used to personalize your companions.

Account security

You are responsible for your password and for everything that happens under your account. Do not share your credentials. Tell us immediately if you believe your account has been accessed without your permission. Authentication is handled by our authentication provider; we never see your Google password.

One person, one account

Accounts are personal. Do not create accounts on behalf of someone else, create multiple accounts to obtain additional free credits or additional free trials, or sell, rent or transfer your account.

Suspension and termination

We may suspend or terminate an account that violates these Terms, is used fraudulently, abuses trials, credits or plan limits, or creates risk for other users or for the service. You may stop using VIKIO and delete your account at any time from Settings.

4. The AI nature of the service

Every companion on VIKIO is artificial intelligence. Companions are not real people. Names, biographies, personalities, backgrounds, photos and voices are fictional or synthetically generated, even when a companion writes in the first person, expresses feelings, references shared history, or describes activities and places.

Companion responses are generated by machine-learning models. They can be wrong, inconsistent, out of date, or entirely invented. You are responsible for any decision you make based on something a companion says, and you should independently verify anything important.

Not professional advice

VIKIO does not provide medical, mental-health, legal, financial, tax or other professional advice, and using VIKIO does not create a doctor-patient, therapist-client, attorney-client, fiduciary or other professional relationship.

Not an emergency service

VIKIO is not a crisis line and cannot contact emergency services for you. If you are in danger or experiencing a mental-health emergency, contact your local emergency number or a qualified crisis service immediately.

Personalization and memories

To make conversations feel continuous, VIKIO stores selected details from your conversations as "memories" and replays recent messages to the model. Memory is selective, capped by your plan, may expire over time, and may be inaccurate. Companions may also start conversations on their own (greetings, check-ins and follow-ups) within the limits of your plan and your notification settings.

Voice and generated images

Voice replies and Voice Mode use synthetic text-to-speech voices, and your speech is transcribed by an automated speech-to-text model. Companion photos, scenes and avatars are generated by AI image models. Generated media is fictional and is not evidence that any event, place or person depicted is real.

5. Your content and our content

What you provide

Your content includes the messages you write, the audio you record in Voice Mode, images you upload (such as a profile or reference photo), companion configurations you build, and anything else you submit. You keep ownership of your content.

License you grant us

You grant us a worldwide, non-exclusive, royalty-free license to host, store, reproduce, transmit, process and create derived material from your content strictly to the extent necessary to operate the service for you — for example to store your conversation history, transcribe your voice, generate a reply, build memories, generate media you request, and provide support and safety enforcement. This license ends when the relevant content is deleted, subject to the retention described in the Privacy Policy.

Content you must have rights to

Do not upload photos, audio or other material that you do not have the right to use, including images or voices of real people who have not authorized their use.

Generated output

Subject to these Terms and to your plan being in good standing, you may use the text, images and audio generated for you in your account for personal, non-commercial purposes. Generated output may not be unique — similar output may be produced for other users. We do not warrant that generated output is free of third-party rights.

Our intellectual property

The VIKIO name, logo, software, interface, companion catalogue, prompts, artwork and underlying systems are owned by us or our licensors and are protected by intellectual-property law. Nothing in these Terms transfers those rights to you.

Copyright complaints

If you believe material on VIKIO infringes your copyright, send a notice to [TO BE COMPLETED — support email] identifying the work, the material you believe infringes it, your contact details, a statement of good-faith belief, and a statement made under penalty of perjury that you are authorized to act. We will remove or disable material where appropriate and may terminate repeat infringers.

For attorney review — DMCA agent designation, counter-notice procedure and repeat-infringer policy need to be finalized with counsel, including registration of a designated agent if the DMCA safe harbor is being claimed.

6. Acceptable use

You agree not to use VIKIO to:

• break the law, or plan, encourage or facilitate illegal activity
• create, request or distribute sexual content involving minors or anyone depicted as a minor — this results in immediate termination
• harass, threaten, defame, stalk or abuse any person
• impersonate a real person, or configure a companion to imitate a real individual without their authorization
• upload malware, or attempt to interfere with, overload or compromise the service or its security
• scrape, crawl, bulk-download or otherwise harvest the service, or use bots or automation against it
• reverse engineer, decompile or attempt to extract source code, prompts or model weights
• bypass authentication, plan limits, rate limits, fair-use ceilings, paywalls or credit charges, or manipulate credit balances
• resell, sublicense or commercially redistribute the service or its output without our written permission
• misrepresent AI-generated output as being produced by a real person where that would deceive someone

We may apply automated and human review to enforce these rules, and we may remove content, restrict features, or suspend or terminate accounts that break them.

7. Plans, trials and billing

Plans

VIKIO offers a Free plan and two paid plans. Free includes 1 active companion, 30 messages per day and a one-time grant of 10 credits, and does not include voice. Plus costs $9.99 per month or $95.88 per year and includes 3 active companions, unlimited everyday messages subject to a fair-use ceiling, 30 voice minutes per month and 50 credits per billing period. Premium costs $19.99 per month or $191.88 per year and includes 5 active companions, unlimited everyday messages subject to a higher fair-use ceiling, 120 voice minutes per month and 150 credits per billing period.

"Unlimited" messaging on paid plans is subject to a fair-use daily ceiling that protects the service from automated abuse. Current plan details are always shown on the Pricing page, which is the operative description of what each plan includes.

Free trial

Paid plans may be offered with a 7-day free trial. A trial is available once per account. You must provide a payment method to start a trial. Unless you cancel before the trial ends, your subscription starts automatically and your payment method is charged the plan price shown at checkout, then on each renewal.

Automatic renewal

Subscriptions renew automatically at the end of each billing period (monthly or annual, as selected) at the then-current price, until cancelled. You authorize us and our payment processor to charge your payment method for each renewal.

Payments and taxes

Payments are processed by Stripe. We do not store your full card details. Prices are shown in US dollars and exclude any taxes, which may be added where required. If a payment fails, we may retry it, restrict paid features, and ultimately downgrade the account to Free.

Cancellation, downgrades and changes

You can cancel at any time from Settings. Cancellation stops future renewals; your paid features remain available until the end of the current billing period, after which the account moves to Free and Free limits apply — including the limit on how many companions stay active. Changing plans takes effect according to the terms shown at the time of the change.

Refunds

For attorney review — Auto-renewal disclosure, trial-conversion notice and refund/cancellation terms are heavily regulated (for example US state auto-renewal laws and the EU right of withdrawal). Confirm wording, notice timing and consent flow with counsel.

Chargebacks

If you dispute a charge with your bank instead of contacting us, we may suspend the account while the dispute is resolved.

8. Credits

Credits pay for optional, individually metered AI actions. Plans unlock capabilities; credits pay for generated media and certain one-off actions on every plan.

Credits may be purchased, granted with a paid plan at the start of each billing period, or given promotionally. Credits are a limited licence to use features — they are not money, have no cash value, cannot be exchanged for cash, and are not transferable between accounts.

Credits are consumed when the action is requested. Because generation costs are incurred immediately, spent credits are generally non-refundable, including where you are unsatisfied with the creative result. Promotional credits may expire or be withdrawn. We may change credit prices; changes apply to future spending, not to credits already spent.

If your subscription ends, credits already in your balance remain available unless they were promotional credits tied to that plan.

For attorney review — Virtual-currency rules (expiry, refundability, unclaimed-property/escheat) vary by jurisdiction. Confirm credit expiry and non-refundability with counsel.

9. Availability, changes and third parties

We aim to keep VIKIO available, but we do not promise uninterrupted service. Maintenance, outages, capacity limits, model provider incidents and factors outside our control can interrupt or degrade the service.

VIKIO depends on third-party services for hosting, databases, authentication, AI text, image, speech-to-text and text-to-speech models, and payment processing. Their availability and their own terms affect what we can deliver. Links to third-party sites are provided for convenience; we are not responsible for their content or practices.

We may add, change, limit or discontinue features, plans, companions, credit prices and beta or experimental functionality. Where a change materially reduces what a paid plan includes, we will give notice before it applies to your renewal.

10. Disclaimer of warranties

To the maximum extent permitted by law, VIKIO is provided "as is" and "as available", without warranties of any kind, whether express, implied or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, non-infringement and any warranty arising from course of dealing or usage of trade.

We do not warrant that the service will be uninterrupted, secure or error-free, that AI output will be accurate, appropriate or consistent, or that memories, personalization or generated media will meet your expectations.

Some jurisdictions do not allow the exclusion of certain warranties. In those places, you have the rights that local consumer law gives you, and nothing here limits them.

11. Limitation of liability

To the maximum extent permitted by law, neither VIKIO nor its operators, employees, suppliers or licensors will be liable for indirect, incidental, special, consequential, exemplary or punitive damages, or for lost profits, lost data, loss of goodwill, emotional distress, or reliance on AI output.

To the maximum extent permitted by law, our total aggregate liability arising out of or relating to the service is limited to the greater of the amount you paid us in the twelve months before the event giving rise to the claim, or one hundred US dollars.

These limits do not apply to liability that cannot be excluded by law, such as liability for fraud, or for death or personal injury caused by negligence.

For attorney review — Liability caps and exclusions must be reviewed against local consumer-protection law, which restricts them in the EU, UK and several US states.

12. Indemnification

You agree to indemnify and hold harmless VIKIO and its operators from claims, damages, losses and reasonable legal costs arising from your content, your use of the service, or your breach of these Terms or of applicable law, except to the extent the claim results from our own wrongdoing.

13. Governing law and disputes

These Terms are governed by the laws of [TO BE COMPLETED — governing jurisdiction], without regard to conflict-of-law rules. Where mandatory local law gives you the right to bring proceedings in your own country, that right is unaffected.

Before starting formal proceedings, please contact us so we can try to resolve the issue informally.

Arbitration is not currently required. Disputes may be brought in the courts of the governing jurisdiction above, or in your local courts where consumer law gives you that right.

For attorney review — Arbitration, class-action waiver, jury-trial waiver and venue clauses are jurisdiction-specific and currently configurable. They must be reviewed, and where used, presented with the notice and opt-out mechanics counsel requires. They are unenforceable against consumers in several jurisdictions.

14. General terms

Force majeure

We are not liable for failure or delay caused by events beyond our reasonable control, including outages of infrastructure or AI providers, natural events, war, labour disputes and government action.

Severability and waiver

If any provision is found unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver of it.

Assignment

You may not assign these Terms without our consent. We may assign them in connection with a merger, acquisition or sale of assets, with notice to you.

Entire agreement

These Terms, together with the Privacy Policy, Cookie Policy and AI Disclosure, are the entire agreement between you and us regarding VIKIO.

Changes to these Terms

We may update these Terms. We will update the version and last-updated date, and where a change is material we will notify you in the app and, where required, ask you to accept the new version before continuing.
